User Agreement

This User Agreement ("Agreement") is a legal contract between you and VouchEm LLC ("Company," "we," "us," or "our") governing your use of our recruitment referral platform and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by this Agreement.

Definitions

• Voucher: An individual who vouches for a candidate's skills and qualifications
• Candidate: An individual whose skills are being vouched for by a Voucher
• Client: An employer seeking qualified candidates for employment opportunities

1. Services Description

VouchEm operates a platform that connects individuals ("Vouchers") with employers ("Clients") seeking qualified candidates for employment opportunities. Our Services include:

• A marketplace where Vouchers can vouch for candidates' skills and qualifications for open positions
• Lead generation services that provide Clients with information about qualified candidates
• Payment processing for successful vouches
• Communication tools between parties

Important: We are NOT an employment agency. We do not place candidates in positions, negotiate employment terms, or guarantee employment outcomes. We provide lead generation and information services only.

2. Eligibility

To use our Services, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations

3. User Responsibilities

3.1 For Vouchers

You agree to:

• Only vouch for candidates whose skills and qualifications you can personally attest to
• Provide accurate and truthful assessments of candidates' professional capabilities
• Not misrepresent candidates' qualifications, experience, or skill levels
• Vouch only for skills and professional qualifications - NOT provide personal details such as phone numbers, addresses, or other private contact information
• Obtain permission from candidates before vouching for their skills
• Not vouch for the same candidate for multiple positions without disclosure
• Comply with all anti-discrimination laws
• Base your vouches on genuine knowledge of the candidate's abilities

3.2 For Candidates

You agree to:

• Provide accurate information about your skills and qualifications
• Give permission to Vouchers to vouch for your professional abilities
• Respond promptly to Client inquiries when your skills are vouched for
• Be truthful in all communications with potential employers
• Notify Vouchers if you are no longer interested in opportunities they vouch for on your behalf
• Respect the confidentiality of Client information shared with you
• Not hold the Company or Vouchers responsible for employment outcomes

3.3 For Clients

You agree to:

• Provide accurate job descriptions and requirements
• Comply with all employment laws and regulations
• Make independent hiring decisions
• Pay agreed-upon fees for leads provided
• Not discriminate against candidates based on protected characteristics
• Handle candidate information in compliance with privacy laws

4. Payment Terms

4.1 Voucher Payments

Vouchers earn payments when candidates they have vouched for are contacted by Clients through our platform. Payment amounts vary based on multiple factors including but not limited to:

• Client search criteria and position requirements
• Number of candidates contacted by the Client
• Candidate response rate and engagement
• Quality and accuracy of skill vouches
• Market demand for specific skills

Payments are processed within 45 days after a Client contacts a candidate you vouched for, subject to verification of contact and compliance with our terms. Payment amounts are not guaranteed and may vary significantly between vouches. We reserve the right to withhold payment for vouches that violate our terms or are determined to be fraudulent or inaccurate.

4.2 Client Fees

Clients pay subscription or access fees to use our platform and search for candidates. Fee structures vary based on the level of service, number of searches, and other factors as outlined in separate Client agreements. Client fees are charged for platform access and are separate from any outcomes related to candidate hiring.

4.3 Platform Fees

We retain service fees from transactions to operate and maintain the platform. This fee structure is disclosed during registration. All payments are subject to our payment processing terms and applicable fees.

5. Prohibited Conduct

You may not:

• Use the Services for any illegal purpose
• Submit false, misleading, or fraudulent information
• Attempt to circumvent our platform to avoid fees
• Scrape, data mine, or harvest information from the platform
• Impersonate another person or entity
• Interfere with or disrupt the Services
• Violate any applicable laws or regulations
• Share account credentials with others
• Vouch for candidates without their knowledge or consent
• Share candidates' personal contact information through the platform

6. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of VouchEm LLC and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose only.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

• That candidates will be hired or contacted by Clients
• The accuracy or quality of skill vouches or candidate information
• That the Services will be uninterrupted or error-free
• Specific payment amounts for Vouchers - payments vary based on multiple factors
• That vouches will result in candidate contact or payment
• Any minimum earnings or payment amounts
• The timing of payments beyond our stated processing period

We are an information and lead generation service only. All hiring and candidate contact decisions are made independently by Clients. Payment amounts to Vouchers are variable and determined by multiple factors as outlined in Section 4. We are not responsible for employment disputes, discrimination claims, or other issues arising from the hiring process or Client-candidate interactions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFERRALCO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid us in the 12 months prior to the claim, or $100, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless VouchEm LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from: (a) your use of the Services; (b) your violation of this Agreement; (c) your violation of any rights of another party; or (d) any information you submit through the Services.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Services will immediately cease. Any pending payments owed will be processed according to our standard procedures.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved in the courts located in Denver, Colorado.

12. Changes to Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on our platform and updating the "Last Updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the modified Agreement.
